Due Diligence
StoneGate draws from its internal and external resources including its Advisory Board of Directors, Strategic Partners, and industry contacts to perform due diligence on each transaction. Due diligence benchmarks include: excellent management, strong industry growth, a defined and logical strategic plan, a financial review, and an identified, achievable exit.

Transaction Structure and Documentation
Following successful completion of due diligence, StoneGate will structure an equity or debt security and prepare the offering documents with oversight from the law firm of Seyfarth Shaw, a Strategic Partner of the firms.

Launch
StoneGate's private placement team will meet with its investor member network of Accredited Investors. Each investor will be able to review and discuss the opportunity, offering documents, and transaction structure with StoneGate's registered representatives. We also recommend that each investor review the offering materials with their own tax advisor, investment advisor, counsel, and other professionals to assess the offering according to their own investment goals and risk profile.

Closing
StoneGate will manage the draw down and transfer of committed funds.

Monitoring and Liquidation
StoneGate will monitor information flow, follow on transactions and distributions for its participating investors. The target entity will be responsible to issue periodic progress updates regarding operations and financial performance and to execute dividend and liquidation distributions.
